Changes of ownership of shares or changes in management of insurance companies constitute a very important issue for the insurance market and the competent authorities. Directive 2007/44/EC of the European Parliament and the Council, aiming at maximum harmonisation, required the EU Member States to introduce relevant amendments to their local laws in respect of the prudential assessment of the relevant acquisitions in the fi nancial sector. The article elaborates on the implementation of the Directive to the Polish legal system and presents some practical issues that the entities taking part in the acquisition process in respect of the Polish insurance companies have to face. It is also the basis for presenting current developments of the EU in respect of the prudential assessment proceedings.
